Terms & Conditions

1.1 Platform

The term "Platform" refers to Prepify, including its website, mobile applications, software, marketplace, communication systems, payment systems, APIs, databases, and all associated services.

1.2 Users

Users include all individuals or organizations accessing the Platform, including but not limited to:

1.2.1 Clients

Dentists, dental clinics, dental laboratories, healthcare organizations, educational institutions, and other entities requesting services.

1.2.2 Service Providers

CAD/CAM designers, implant planners, digital dental specialists, consultants, educators, laboratories, technicians, and any professional offering services through the Platform.

1.3 Services

Services may include, but are not limited to:

• CAD/CAM crown and bridge design
• Implant planning
• Surgical guide design
• Digital smile design
• Orthodontic planning
• Prosthetic design
• Dental consultation
• Educational services
• Digital content creation
• Future services introduced by Prepify

2.1 Marketplace Only

Prepify acts solely as a technology platform that facilitates communication, file exchange, project management, and payment processing between Users.

2.2 No Clinical Responsibility

Prepify does not practice dentistry, provide medical advice, diagnose conditions, prescribe treatment, manufacture restorations, or deliver healthcare services.

2.3 Independent Parties

All transactions are conducted between independent Users. Prepify is not a party to any treatment relationship, laboratory relationship, employment relationship, consultancy agreement, or healthcare service arrangement.

3.1 Accurate Information

Users must provide complete, accurate, and current information during registration.

3.2 Professional Credentials

Prepify may request verification of professional licenses, certifications, educational qualifications, identity documents, or business registrations.

3.3 Account Security

Users are solely responsible for maintaining the confidentiality of their login credentials.

3.4 Unauthorized Access

Users must immediately notify Prepify of any suspected unauthorized access or security breach.

3.5 Suspension Rights

Prepify reserves the right to suspend, restrict, or terminate accounts that provide false information or violate these Terms.

4.1 Client Responsibility

Clients remain solely responsible for:

• Diagnosis
• Treatment planning
• Clinical decision making
• Restoration approval
• Patient management
• Manufacturing decisions
• Material selection
• Final treatment delivery

4.2 Service Provider Responsibility

Service Providers are responsible for delivering services with reasonable professional care, competence, and accuracy.

4.3 Independent Judgment

Users must exercise their own independent professional judgment and may not rely solely on information obtained through the Platform.

5.1 Final Approval Responsibility

All designs, treatment plans, digital files, surgical guides, restorations, and related deliverables must be independently reviewed, verified, and approved by the Client before clinical use.

5.2 Sole Clinical Responsibility

The treating dentist, clinic, laboratory, or healthcare provider bears sole responsibility for determining whether any submitted work is appropriate for use.

5.3 No Liability for Clinical Outcomes

Prepify shall not be responsible for:

• Clinical complications
• Treatment failures
• Misfits
• Occlusal discrepancies
• Manufacturing errors
• Surgical complications
• Patient injuries
• Prosthetic failures
• Biological failures
• Esthetic dissatisfaction

5.4 Use at Own Risk

All files, recommendations, designs, and deliverables are used entirely at the User's own risk and professional discretion.

6.1 Legal Compliance

Users must comply with all applicable privacy, healthcare, and data protection laws.

6.2 Patient Consent

Users are solely responsible for obtaining any required patient consents before uploading files or information.

6.3 Minimum Necessary Information

Users should upload only information reasonably necessary to complete a requested service.

6.4 Prohibited Uploads

Users may not upload information they do not have legal authority to share.

6.5 Security Measures

Prepify implements reasonable technical and organizational safeguards to protect data.

6.6 No Absolute Security Guarantee

No online platform can guarantee absolute security. Users acknowledge that electronic transmission carries inherent risks.

6.7 Data Breach Limitation

Prepify shall not be liable for unauthorized access resulting from circumstances beyond its reasonable control.

7.1 Payment Processing

Payments are processed through third-party payment providers.

7.2 Escrow-Like Holding

Prepify may hold funds during project completion and review periods before releasing payment to Service Providers.

7.3 Release of Funds

Funds may be released once the Client confirms satisfactory completion or upon expiration of applicable review periods.

7.4 Platform Fees

Prepify may charge platform fees, commissions, transaction fees, withdrawal fees, currency conversion fees, or other service fees.

Current fee structures may be modified at any time with reasonable notice.

7.5 Reviews and Ratings

Users acknowledge that reviews, ratings, testimonials, and feedback may be publicly displayed to assist other Users in evaluating services and providers.

7.6 Chargebacks

Prepify reserves the right to investigate chargebacks, disputes, fraudulent transactions, and payment reversals.

7.7 Tax Responsibility

Users remain solely responsible for reporting and paying all taxes applicable to their activities.

8.1 Promotional Rights

Users grant Prepify a non-exclusive, worldwide, royalty-free license to display, reproduce, publish, distribute, and promote publicly available marketplace content for marketing and promotional purposes.

8.2 Marketplace Content

Prepify may use:

• Service listings
• Public project advertisements
• Provider profiles
• Ratings
• Reviews
• Testimonials
• Marketplace statistics
• Platform activity metrics

for advertising, marketing, educational, investor, and promotional purposes.

8.3 Confidential Information Protection

Prepify shall not publish or disclose:

• Patient identities
• Clinical records
• DICOM files
• STL files
• Treatment plans
• Private communications
• Pricing agreements
• Confidential project files

without explicit authorization.

8.4 Anonymized Case Studies

Prepify may publish anonymized case studies, reports, industry insights, and educational materials derived from platform activity provided no individual patient or User can reasonably be identified.

8.5 Opt-Out Requests

Users may request removal of specific marketing materials featuring their business identity. Prepify will make reasonable efforts to honor such requests.

9.1 User Ownership

Users retain ownership of intellectual property they create and upload.

9.2 Platform License

Users grant Prepify a limited license to host, process, store, display, and transmit content necessary for Platform operation.

9.3 Platform Ownership

All software, branding, trademarks, graphics, databases, and Platform functionality remain the exclusive property of Prepify.

9.4 Restrictions

Users may not copy, reverse engineer, reproduce, distribute, or exploit Platform technology without written authorization.

11.1 User Responsibility

Users are encouraged to resolve disputes directly.

11.2 Platform Assistance

Prepify may facilitate communication during disputes but is not obligated to act as an arbitrator.

11.3 Final Decisions

Prepify reserves the right to make administrative decisions regarding payments, account restrictions, refunds, and dispute outcomes where necessary to protect Platform integrity.

12.1 As-Is Service

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

12.2 No Guarantees

Prepify does not guarantee:

• Service availability
• Provider performance
• Project outcomes
• Revenue generation
• Design accuracy
• Clinical success
• Continuous operation

13.1 Exclusion of Damages

To the fullest extent permitted by law, Prepify shall not be liable for:

• Direct damages
• Indirect damages
• Consequential damages
• Lost profits
• Lost revenue
• Business interruption
• Clinical losses
• Reputational damage

arising from Platform use.

13.2 Liability Cap

Any liability of Prepify shall not exceed the total amount of fees paid to Prepify by the affected User during the twelve (12) months preceding the claim.

15.1 User Termination

Users may terminate their account at any time.

15.2 Platform Termination

Prepify may suspend or terminate access for violations of these Terms.

15.3 Survival

Provisions relating to liability, intellectual property, payments, privacy, and dispute resolution shall survive termination.
